DentalCare Partners, Inc. Completes $22.5 Million Private Placement of Senior and Subordinated Debt Securities

September 30, 2003 -- DentalCare Partners completed a $22.5 million private placement of senior and subordinated debt securities. Proceeds from the private placement will be used to refinance the Company's existing indebtedness and provide DentalCare Partners with additional borrowing capacity to fund internal growth and future practice development and for general corporate purposes.

DentalCare Partners, a portfolio company of Beecken Petty & Company and Key Equity Capital, and based in Cleveland, Ohio, is a leading dental practice management company. The Company provides administrative and management services to practices that offer a full range of dental services, including general dentistry (diagnostic, preventative and restorative), orthodontia and prosthetics. The Company currently provides services to 63 dental and orthodontic practices concentrated in major metropolitan areas in Kentucky, Illinois, Indiana, North Carolina, Michigan, Michigan, Pennsylvania, Tennessee and Wisconsin.

Brentwood Capital Advisors acted as exclusive financial advisor for the $22.5 million private placement of senior and subordinated debt securities issued by DentalCare Partners in connection with this transaction. This private placement represents the eighth financing assignment closed by Brentwood Capital Advisors for its clients since January 1, 2002, for aggregate proceeds in excess of $162 million.
